Principal Areas of Work
Banking/Debt Finance:
The team handles a variety of debt finance transactions for both borrowers and lenders, often involving cross border security structures. The team’s experience covers acquisition finance, convertible debt, general corporate lending, retail corporate bonds and property finance.

Commercial Contracts: The team drafts, negotiates and interprets a wide variety of commercial contracts, including agreements for the supply and purchase of goods and services, outsourcing arrangements, agency and distribution agreements, franchise agreements and tender responses.

Corporate: On the M&A side, the team acts for public and private companies on sales, takeovers, takeprivates, MBOs and joint ventures. On the corporate finance side, in addition to its fully-listed clients, Memery Crystal has advised on the AIM market since its inception with over 25 NOMAD and broker clients and over 40 Aim corporate clients.

Dispute Resolution: Memery Crystal was named ‘Dispute Resolution Team of the Year’ at the 2014 Legal Business Awards and also the ‘Litigation Team of the Year’ at The Lawyer Awards 2014. The team has acted on many high profile cases with notable recent successes in the Court of Appeal. It acts on heavyweight company disputes, directors’ breach of duty, fraud, regulatory enquiries, professional negligence, property litigation, insurance, international arbitration and IP and licensing disputes.

Employment: The team acts for employers, employees, and senior executives on contentious and non-contentious matters, including contract and policy advice, discrimination matters and disciplinary procedures, redundancy and restructurings. The team is able to represent clients through to the High Court.

IP: The team demonstrates skills across the technology spectrum including trademark and design work in the retail and fashion areas; complex sponsorship, publishing, licensing, merchandising and commercialisation transactions; data privacy and freedom of information work; and IP litigation.

Real Estate: The team advises owners, investors, financiers, asset managers and developers in acquisitions/ disposals/lettings, property development, construction and regeneration. The firm is a market leader in the retail sector, acting for some of the largest retailers in the UK. Additional specialist areas include property litigation, finance, planning and CPO.

Tax: The team advises on all areas of corporate, property and employment tax, both domestic and crossborder, as well as restructuring, demergers, joint ventures, VAT and SDLT.

Technology & Media: The technology and media team’s expertise covers a wide range of industries and sectors, where the team have helped clients, ranging from start-up innovators with a good idea to multinational companies with complex strategic issues, to maximise their opportunities and minimise risk as efficiently and effectively as possible.
