Banking, Finance & Capital Markets:
The firm advised on banking and capital markets deals totaling US$21 billion from mid-2013 to mid-2014. Its capital markets practice is unrivalled, having participated in more international securities offerings than any other Peruvian firm in recent years and almost all international offerings by Peruvian banks. It also stands out for its unique regulatory banking experience, having advised on the formation of five banks in Peru, more than any other firm.
Bankruptcy: The firm’s practice has an international focus, representing clients in cross-border insolvency cases carried out in Peru. The department is expert in cross-border insolvency regulations (exequatur proceedings and its effects) and its lawyers are familiarised with the scope and application of the UNCITRAL Model Law on Cross-Border Insolvency in foreign jurisdictions.
Competition / Antitrust: The firm participates in the biggest and most complex antitrust and unfair competition cases in Peru. It has strong experience representing local subsidiaries of international companies in antitrust proceedings, particularly in the energy, infrastructure and telecoms sectors.
Corporate/Mergers & Acquisitions: From mid-2013 to mid-2014, the firm advised on 18 high-end M&A deals with a total value exceeding US$4 billion, including all the market’s headline deals. Other matters include high-end JVs, corporate reorganisations, strategic contracts, solving complex problems and creating complex corporate structures.
Dispute Resolution: The firm is equally strong in all types of litigation, before all levels of the court, as well as in both local and international arbitration. The department has outstanding expertise and experience in complex regulatory disputes, specifically in the electricity, oil & gas and telecoms sectors. It is also a pioneer in international arbitration, participating in many of the market’s biggest cases in recent years, such as representing Duke Energy in one of very few ICSID cases in which the Republic of Peru was defeated.
Environment: the firm handles the complete range of environmental work, from projects, M&A due diligence and finance-related matters to legal opinions and litigation. It stands out for its expertise in matters relating to projects, such as land management issues including water rights, sites of archaeological interest, natural reserves and zoning.
Labour & Employment: With over 30 lawyers in the department, the firm participates in the market’s most complex, sensitive and strategic matters. It handles general labour and social security matters, legal opinions, planning and strategy, restructuring, collective bargaining and negotiations with unions and the government, and has participated in many of the biggest litigation cases in Peru in recent years.

Real Estate: The firm is regularly called upon to provide one-off legal opinions on complicated real estate issues. It advises on permits and licenses, due diligence, sale and purchase of properties, urban and rural land, and real estate projects. It stands out for its experience advising on the development of housing projects and the sale, purchase and lease of commercial property.

Tax: The tax department assists clients with sophisticated tax structures, complex cross-border transactions and litigation before all levels of the court, including highly sensitive litigation against the tax authority SUNAT. It stands out for its unrivalled expertise in tax matters relating to regulated industries, specifically energy, infrastructure and telecoms.
