The firm’s M&A experience includes advising investors, buyers and sellers. The firm provides effective advice to investors in forming strategic alliances and joint ventures and investing in Mexican companies. The firm’s M&A practice designs innovative investment structures to carry out equity and asset acquisitions, capitalisations, mergers, spin-offs, stock combinations and public tender offers, and prepares and negotiates shareholders’ agreements to exercise corporate and economic rights, conflict resolution mechanisms, corporate governance and exit strategies. The team’s experience also include antitrust, foreign investments and other administrative filings.

Real Estate & Hospitality:
This is one of the firm’s core practice areas, in which its team recommends legal structure for the development and marketing of real estate projects, including REITS, and offers legal counsel to tourism industry companies in designing time-share or full-time projects, vacation clubs, fractional ownership and mixed regimes in real estate projects. It designs and prepares time-share regimes, rules and regulations, real estate trusts, marketing and operating agreements, and timeshare and club membership agreements, carries out filings and petitions before federal and local authorities, including registration of standard-form agreements before the Consumers Protection Agency, and provides advice in real estate transactions and trusts, housing projects, industrial parks and construction turnkey, operation and management and project loan agreements.

Banking & Corporate Finance:
The firm advises banking institutions, issuers of securities, non-bank banks, investment funds, rating agencies and other key players in the Mexican and international market, assisting in structuring creative financing structures related to secured or unsecured credit agreements, mortgage loans, leasing, capital development bonds (CKDs) real estate investment trusts (FIBRAs) and cross border transactions. The team has structured public or private debt and equity securities offers, derivative market transactions, securitisation of assets and other structured financing transactions in Mexico and abroad, including preparing and revising indentures, underwriting agreements, prospectuses and other offering materials. Its experience facilitates efficient oversight of government filings and other proceedings to obtain authorisations due to its relationship with government authorities.

Project & Equipment Finance:
The team has experience implementing project and equipment finance transactions, and represents developers, investors, creditors and international development financial institutions, assisting them documenting syndicated loans, intercreditor and security agreements.

Public Bidding & Privatisations:
Romo Paillés team has advised investors, financial agents and federal and local government agencies in privatisations and public biddings in a variety of industries, and has represented sellers in public biddings by preparing notices and guidelines, drafting contracts and bid formats, and analysing legal qualification of participants, including advising bidders on compliance with legal qualification requirements and attend clarification meetings, as well as assisted participants in implementing investment structures and establishing investment consortia.
