Capital Markets:
■ The first “triple” listing on the London, Prague and Warsaw stock exchanges, one of the largest European IPOs in 2008 and the largest ever IPO in the Czech Republic for New World Resources N.V. (total value of the offering was ₤1.1 billion with final market capitalisation of ₤3 billion) 
■ Czech law advice to the issuer – pharmaceutical company Affimed Therapeutics B.V. – in connection with an IPO and SPO in the USA and share listing on the NASDAQ
■ Advised lead managers in the placement of notes issued by Česká zbrojovka, a.s. (a leading weapons manufacturer) on the Czech market. This was the first-ever issue by Česká zbrojovka, a.s., and by a regulated weapons manufacturer of that size

Corporate, M&A, Restructuring:
■ Advised SABMiller group on Czech and Slovak issues in relation to the sale of its CEE businesses, including Czech brewery Plzeňský Prazdroj and Slovak brewery Pivovary Topvar, to the Japanese Asahi Group holdings. The transaction was the most significant M&A transaction in the Czech Republic in 2016 with a total value of EUR 7.3 billion.
■ Czech and Slovak law advice to Hewlett-Packard in the company’s worldwide split up
■ Advised Veolia Energie ČR (formerly Dalkia Česká republika, part of the Veolia Environnement group) in the acquisition of Pražská teplárenská LPZ, a heat supplier in Prague
■ Advised the shareholders of PXE (Power Exchange Central Europe) on sale of a majority stake in PXE to European Energy Exchange. The transaction represented a first transaction of this kind in Central Europe.

Real Estate:
The team handles all aspects of real estate projects, including project structuring, planning and permitting, construction financing, due diligence, purchase, lease, operation and greenfield and brownfield investments.
Acted for: Northwood Acquisitions LLC, an American investment fund, in its acquisition and refinancing of a luxury hotel in Prague (Four Seasons Hotel); ČSOB in structuring and in a real estate portfolio due diligence in connection with structured real estate acquisition financing; Best Hotel Properties a.s., a large publicly traded Slovak hotel property owner, in the purchase of the InterContinental Hotel Prague.

Dispute Resolution, Insolvency:
The team’s expertise includes all means of dispute resolution (litigation, mediation, arbitration, insolvency and administrative proceedings) across various industry sectors (mining, real estate, manufacturing to media). The firm has a specialised receivables collection department. Representing CET 21, a member of CME group, in a number of disputes, including a dispute against cable broadcasters, a dispute with several OTT providers and ISPs regarding illegal internet retransmission of free-to-air television broadcasts (this led to the first-ever judgment issued in the Czech Republic prohibiting such conduct).
