Project Finance & Tenders:
LM has extensive experience in the field of project finance and tenders, beginning with its involvement in advising Knesset committees and including the selection of the firm by the Accountant General of the State of Israel to formulate the Standard Form tender documents and concession agreements for all PFI\ PPP projects. As Israel’s leading firm in project finance, over the past 15 years, LM has been involved in most of Israel’s significant large-scale national infrastructure initiatives, including highways, mass transit projects, desalination and energy plants. LM has been involved in all desalination projects in Israel including Ashkelon, Palmachim, Hadera, Sorek and Ashdod; LM was involved in the Carmel Tunnels project in Haifa, the Light Rail Train in Tel Aviv (Red Line) and Highways 431 and 531; LM advised Bank Leumi both as the financier of the OPC power plant project in Mishor Rotem and as the financier of a bidder in the BOT tender for the relocation of army camps. LM has advised the two largest banks in Israel in granting bridge financing – to the Israeli partners in the Yam Tethys project, and, later, in two further transactions, advised Credit Swiss First Boston and Morgan Stanley as the arranger of lenders in refinancing the senior debt. LM acts as legal counsel to Bank Hapoalim and as local legal counsel to the European Investment Bank (EIB) in the financing of a large solar thermal power plant in Ashalim. In addition LM represents a license holder engaged in the execution of a pumped storage hydro-electric power plant, the first in Israel using pumped storage technology. LM also acts as a legal advisor to various finance providers in financing the activities of natural gas distribution license holders. In addition, the firm represents Bank Hapoalim and other landers for the provision of senior debt for sections 3 and 7 of the Cross Israel highway project, a project which has recently reached financial closing. LM also advised the Israel Ports Company in tenders, for the construction of two new ports in Ashdod and Haifa and in the tenders for the operation of the ports, once constructed. The four tenders are considered as a significate landmark in the Israeli market. In addition, LM represents one of Israel’s largest financial institutions in financing a large housing project.

LM has one of Israel’s most highly appreciated antitrust practices. LM is experienced in working with the Antitrust Authority on regulatory matters and specific cases. LM provides ongoing counsel on the enforcement of the Antitrust Law and represents clients before the Antitrust Commissioner, the Antitrust Tribunal and the Supreme Court. LM provides ongoing counsel to public corporations and private companies on Antitrust Law including restrictive arrangements and cartels and handles large scale mergers. LM also provides ongoing counsel to monopolies, oligopolies and concentration groups in regards to the limitation and regulation applicable to such entities. In addition, LM represents clients in various criminal proceedings and provides legal counsel from the first stages of an investigation and up to the defence against indictments. LM represented defendants in most of the recent criminal antitrust cases, including the pipes fittings cartel; the gas marketing cartel; the vegetables cartel and the distribution of books cartel. Currently, LM represents a significant foreign manufacturer before the Antitrust Tribunal in an appeal relating to an alleged global cartel, as well as in lawsuits amounting to billions of NIS relating to the alleged cartel. LM also took part in the process of enactment of the Concentration Law and provides counsel to various authorities and statutory entities, with regard to the implementation of said law. LM acts as counsel to Visa Europe on all matters pertaining to Antitrust Law, including during recent proceedings relating to interchange fees and debit cards. In addition, the firm represents National Tender Committees on all antitrust matters relating to large infrastructure projects. LM clients in this field include various authorities and statutory entities such as the Ministry of Finance, the Ministry of Environmental Protection, Israel Ports Company and the Airports Authority as well as private companies and conglomerates such as Alstom Group, General Electric, Bombardier Transportation, Elco, Electra, El Al, Tnuva, Bezeq International, Clalit Health Services, Diebold and Loreal Israel. Commercial Law & Transactions:
LM has extensive experience in handling the most complicated crossborder commercial matters, including complex transactions such as mergers and acquisitions, setting up joint ventures and start-ups, capital ventures, and acting as ongoing counsel for public and private companies, local and international firms in Israel and abroad. LM represented Electra in a long list of transactions including their merger with Hofre HaSharon and the acquisition of Tzom Elevators and Geo Energy. LM represented Electra Consumer Products in various transactions including the merger with Mahsanei Hashmal, the purchase of Ace and the sale of Electra’s water operations (‘Electra Bar’) to Mey Eden. Furthermore, LM represented investors in the acquisition of the controlling interest in Modgal Industries; Elco Contracting and Services in the acquisition of Compax International 93 and the Afsek Group activity, and DSNR group shareholders in the sale of their shares. LM also represents Tradomatix, a leading algo trading group, in its various global transactions.

LM represents clients in all the State’s courts and tribunals including the Supreme Court and Labour Courts. LM has particular specialisation in commercial litigation, tenders law, administrative petitions relating to planning and zoning, torts, labour law, consumer law and telecom.
