MAIN AREAS OF PRACTICE:
Energy & Natural Resources: Energy law is one of Norton Rose Fulbright’s core focus areas. The Venezuelan office has assisted clients in the negotiation and structuring of joint ventures, upstream agreements and licences, and has also acted on due diligence matters for oil and gas and securities transactions. It has played a leading part in most of the major oil projects underway in the Orinoco Oil Belt. The office has the leading mining law practice in Venezuela and is very active in the wider Latin American region, providing advice on all legal aspects of hydrocarbon and mining ventures.
Corporate/M&A/Finance: The Venezuelan office has assembled an impressive corporate/M&A team enhancing the practice’s international profile and adding to its experience in a wide range of sectors and industries. The office acts for clients in all matters related to foreign investment and business law, banking and finance, and corporate governance, by integrating corporate and commercial experience with a diverse range of lawyers from other related areas, such as real estate and environment.
Labour & Employment: The labour department focuses on representing the interests of employers and advises on the full range of labour and employment issues, including the negotiation of contracts and collective labour disputes, expatriate transfer matters, top executives’ compensation, mergers and acquisitions, down-sizing and/or closure of companies, and the planning of labour audits. The office also prepares plans and audits for HR departments. The team has obtained several landmark decisions in the labour courts and in the Supreme Tribunal of Justice.
Tax: The tax team routinely advises on the full range of matters in a wide range of business sectors, including mergers, acquisitions, financial reorganisations and tax structuring transactions. Its lawyers are experienced in developing and implementing the most robust litigation strategies against assessments of all types of taxes. The tax team also provides advice on complex cross-border transactions, multi-national structures and transfer pricing matters.
Dispute Resolution/Litigation: The Venezuelan office has a large and experienced litigation department that offers clients services in all areas of litigation and arbitration. The team has many years of experience in Alternative Dispute Resolution (ADR) and has one of the largest arbitration practices in Venezuela, managing a large number of arbitrations locally (CEDCA and CCC) and internationally before the ICC, AAA and ICSID.
Regulatory/Administrative: In a country where governmental and state-owned bodies play a substantial part in the state of the economy, the Venezuelan office has lawyers who are highly experienced in public law and regulatory matters. The team has an extremely strong track record in the analysis of legislation governing regulated sectors such as electricity, expropriations, concessions, bidding, privatisation, antitrust, consumer protection and foreign investment regulations.
