García Sayán Abogados is one of the best known Peruvian law firms, with a long standing reputation of integrity and excellence. Its founder members were highly distinguished lawyers who worked in Lima since 1888. García Sayán Abogados is the only Peruvian member of Meritas, the largest worldwide affiliation of independent law firms. It is also an active member of the International Bar Association (IBA), the Asociación Interamericana de Propiedad Industrial (ASIPI), the International Trademark Association (INTA) and the International Fiscal Association (IFA). International Work: Recent transactions in which García Sayan Abogados has been involved include:

■Cencosud: one of the major retail companies in Latin America, in the sale of their 47 pharmacies located in its stores to Mifarma, a national pharmacy corporation, subsidiary of Quicorp Group with 75 years of experience in Latin America and currently operates in 6 countries
■Volcan Compañia Minera: one of the biggest mining companies in Peru, in the acquisition of 100% of shares of Terminales Portuarios Chancay through its company Empresa Administradora de Puertos S.A., which first stage is the developing of pre-operational and pre-financing studies of a multipurpose port project located in Chancay, north of Lima. The project includes the construction of ten equipped wharves
■Quanta Services Peru: through a Peruvian subsidiary participated in a consortium (Quanta holding 50% of the consortium) in a bidding process organized by PROINVERSION and have been awarded with two contracts for the installation of broadband for communications in Piura and Cajamarca. Value US$ 248,105,650.00
■Credicorp Capital Servicios Financieros – Banco de Crédito del Perú: in the finance to Agr{icola Hoja Redonda S.A. for expansion operations in Chepen (Northern Peru) including the financing documents as well as the security package. Value US$ 28MM
■Graña y Montero Petrolera: support in the binding process before Perupetro in order to acquire the Licensing Contracts for the Exploration and Exploitation of Hydrocarbons in Blocks III and IV
■Sapet Development Peru Inc.: easement for the construction of oil and gas drilling facilities. Legal advice on the administrative process at the SBN in order to obtain seven easements needed to execute activities relatives to Block VII
■Medic-Ser (AUNA Group): in the purchase process which included the review of the properties titles of third parties (sellers); the review of documents in which the “Clinica Delgado” has been constructed and the preparation of various purchase contracts
■Union Andina de Cemento – UNACEM: in the fine issued by the National Competition Authority – INDECOPI with US$ 5MM for supposed anticompetitive practices affecting Cemex (Cementos de Mexico), UNACEM’S principal executives have also been fined. INDECOPI declared that our client has not been involved in boicot as was pretended by Cemex
■Danper Trujillo S.A.: in the loan agreement granted by the International Development Bank. Value of this transaction was US$ 35m.
■Pacific Offshore Peru S.R.L.: in the international emission through private offer made by Pacific Rubiales Energy Corp. of the Senior Notes bond due 2025 for US$ 750m
■Microsoft Inc.: in the personnel transfer process of its local subsidiary due to the worldwide acquisition of Nokia by Microsoft Inc.
■Sociedad Minera El Brocal: in the accusation of contaminating the Chinchaycocha Lake (Junin) because of their mining activities. The Court found no criminal liability for the company and closed the case
■International Finance Corporate: in a subordinated loan to Banco Interamericano de Finanzas. Value was of US$ 25m
