Banking, Finance & Capital Markets:
Consortium offices have extensive and solid experience in banking, finance law and capital markets. The firm provides advice to prestigious banks and financial institutions on financial laws and regulations in Nicaragua, Costa Rica, Honduras, Guatemala and El Salvador, in aspects related to the structuring of complex local and/or international financial transactions; project finance; advice on all types of corporate and structured transactions, such as asset securitisation, factoring, leasing and derivatives. Consortium – Nicaragua advised and worked with Banco Citibank de Nicaragua and Cititarjetas de Nicaragua in the multimillion dollar transaction that involved the sale of said companies to an international financial institution called “FICOHSA”, which is based in Honduras and also operates in Panama and El Salvador.

Corporate, Commercial & M&A:
Consortium handles incorporation of companies and provides corporate legal assistance with board resolutions, shareholders’ meetings, shareholders agreements, joint ventures; assistance in drafting and executing contracts related to international trade, distribution, licensing and agency agreements and all types of commercial transactions; assistance in processes of mergers and acquisitions.

Intellectual Property: Consortium advises on trademark, patent and copyright law, IP litigation, enforcement actions and registrations of IP rights, cancellation proceedings and licensing, among others.

Litigation & Arbitration: Consortium advises and represents clients on administrative, civil, commercial, criminal and labor litigation, including requests for appeals and Supreme Court litigation and commercial arbitration. Nicaraguan office of Consortium is the only firm in the country with a dedicated team of seasoned litigator and arbitrators with four senior lawyers with more than fifteen years of experience in litigation and arbitration. Partner Gerardo Martín Hernández is member of the Latin American Arbitration Group of the International Chamber of Commerce, Arbitrator teacher of Civil Procedure in the Judiciary School and former Civil Judge.

Tax:
Consortium specialises in tax matters regarding corporate and commercial transactions, including business planning, corporate transactions and tax litigation.

Regulated Sector: Consortium has extensive experience in legal matters in sectors such as telecommunications, energy, mining, environmental, etc. Consortium –Nicaragua was chosen by HKND Group to give legal assistance to the operation of the Nicaragua Grand Canal Project. The team of lawyers, led by Rodrigo Taboada, has been working on this important and challenging project since its beginning.

Real Estate: Consortium has comprehensive experience with contracts related to real estate, horizontal property, work and construction contracts, financing, parcelling, securities, purchase, sales and leases in real estate, including the respective authorisations and registrations.

Labour: Consortium oversees the interpretation of labour laws and international treaties in effect in Central America, the drafting and enforcement of internal labour regulations and the calculation of labour liabilities and actuarial studies. The team of lawyers that specialises in this area assists and/or represents clients in administrative processes before the Ministry of Labor, as well as in labor lawsuits before the labour courts.

Penal Law: Consortium advises defendants and victims in matters related to economic, financial and tax crimes, and in the prevention or defense of labour crimes, such as those related to industrial accidents.

Migratory Law: Consortium advises foreign clients in the acquisition and renewals of temporary or permanent residence under any of the categories recognised by Nicaragua´s migratory legislation.
