MAIN AREAS OF PRACTICE:
M&A/Corporate: The firm has a broad transactional practice, both in domestic and in cross-border transactions. HRA&F served as counsel to Vinci Airports SAS, one of the largest airport operators in the world, in the acquisition of Aerodom, the operator of six airports in the Dominican Republic, including the airport for the capital city of Santo Domingo. The firm advised Royal Gold, Inc., in a US$610 million minerals purchase agreement entered into with reference to the Barrick Pueblo Viejo mine in the Dominican Republic. HRA&F was counsel to Centro Financiero BHD in its acquisition by merger of Grupo Financiero León. The transaction, valued at US$5.5 billion, was the largest financial institutions transactions in Dominican history.
Banking & Finance: The firm frequently participates in transactions related to bank and commercial lending securities offerings, securitisations, public finance and project finance. The firm recently represented The Bank of Nova Scotia in two project finance transactions, the first for US$50 million for a local energy project and the second for US$45 million for a project backed by an international private equity firm. HRA&F represented Banco Popular de Puerto Rico in a US$41.5 million secured financing facility to a tourism-related company. The firm served as counsel to Citibank in a US$80 million loan extended to a local industrial conglomerate for the expansion of its cement plant in the Dominican Republic.
Litigation/Alternative Dispute Resolution: The firm offers clients extensive litigation experience and participates in local and international arbitration processes. Recently, the firm successfully represented CLARO, the largest telecommunications firm in the country, in several actions related to the auction of frequencies on the wireless spectrum.The Firm represents Nynas AB and other subsidiaries in a US$34M claim filed by a local insurance company and AES (a power company) relating the failure of a transformer in one of the country’s main electric generators. The trial court stage issued a favorable decision for Nynas AB finding that Nynas had no liability related to the transformer failure; appeals have already been field. the firm represents the three associations that jointly represent all of the actors in the Dominican financial system in a Constitutional challenge to certain provisions of a new notary public law in the country. Likewise, the firm is representing the Central Bank of the Dominican Republic in claims and litigation arising out of the fraudulent bankruptcy of Banco Peravia.
Transportation: The firm has advised on the acquisition, leasing and mortgaging of aircraft and maritime vessels, and securing operating licenses. Local counsel to Air Berlin and Aerorepública.
Tax: The firm advises local and foreign clients in tax matters related to local activities and operations.
Sports: The firm assists sports organisations and teams, such as MLB, NY Yankees, LA Dodgers and ten other Major League teams, in labour matters, litigation, corporate law, real estate and other practice areas. HRA&F also serves as counsel to Dominican baseball and basketball teams.
Pro Bono: The firm actively contributes with non-profit organisations such as CONEP, ANJE, AIRD and AMCHAM, with the participation of partners and associates in the legal committees of the same, for the revision and drafting of bills to be submitted for approval by Congress. The firm actively collaborates with the Fundación Pro Bono República Dominicana, a new clearinghouse for pro bono in the country. The firm served as pro bono counsel to the Alliance for Financial Inclusion in a local regulatory project. Counsel to CEDIMAT, an important medical centre in the country, in various labour cases.
Intellectual Property: The firm is known for its significant IP practice, considered to be among the most innovative in the country. This department has played a leading role in protecting the copyrights, patents and trademarks of many international firms, particularly in the pharmaceutical area (ie Merck, Pfizer, Wyeth, Johnson & Johnson, Novartis, GSK). The firm also represents Cubatabaco, Mars Inc., Clorox, Mercasid, Induveca, Quala and other foreign and local clients.
Foreign Investment: The firm offers advice on all matters related to foreign investment laws, including structuring investments to best capitalise on benefits and incentives under Dominican law.
Telecommunications: The firm has ample experience in matters concerning administrative and regulatory issues, interconnection agreements and telecommunications fraud. The firm acts as principal outside counsel to CLARO.
Real Estate & Tourism: Counsel to a construction consortium, Consorcio COMPREICA-ALBA SANCHEZ, in the discussion and execution of the agreements with the Ministry of Public Works for the construction of one of the most important infrastructure projects that will be built by the government. Counsel to Maccaferri, a multinational focused on advanced solutions for erosion control and soil stabilisation, as well as complex civil and environmental engineering applications, in the Dominican market. The firm provides ongoing assistance to the Church of Jesus Christ of Latter-Day Saints with real estate ownership and related issues across the country. Ongoing legal assistance to GRUPO PUNTACANA, one of the largest tourism group in the Dominican Republic, as well as to Consorcio Azucarero Central, in matters concerning lease and acquisition of land for sugarcane farming.
Energy: The firm has counseled several companies in the negotiation of power supply contracts, power purchase agreements, regulatory matters and permits. The firm is currently engaged in several transactions involving investments in the energy sector, finance transactions and the regulatory effects thereof.
