Sedgwick Chudleigh’s lawyers have experience of a wide range of contentious legal issues that confront commercial organisations, and they are recognised experts in the resolution of commercial disputes through litigation, arbitration, mediation, and negotiation.
Recent matters handled in Bermuda include shareholder disputes (including unfair prejudice and minority oppression disputes), litigation involving corporate governance and the conduct of company meetings, breach of duty claims against directors, officers and corporate service providers, creditor attempts to “pierce the corporate veil”, restitutionary/constructive trust claims, fraudulent preference and fraudulent conveyance claims, professional liability claims against professional trustees, lawyers, architects and other professionals, applications for injunctive relief including “freezing” orders and anti-suit injunctions, financial regulation issues (including regulatory enforcement actions and disputes), and employment-related disputes.
The firm has acted for and advised parties in connection with several well-known financial scandals, including those arising from the frauds perpetrated by Bernard Madoff and Tom Petters.
Invariably, the matters we handle in Bermuda involve cross-border issues, and our lawyers have considerable experience of international litigation and arbitration, jurisdictional challenges, the enforcement of foreign judgments and arbitration awards, and the process of obtaining evidence for use in foreign proceedings. The team has direct experience of dispute resolution in a number of jurisdictions outside Bermuda, including the UK, the US, Canada, Australia, Hong Kong, Singapore, the Cayman Islands, the British Virgin Islands, and the Channel Islands.

Insurance and Reinsurance:
As an affiliate of Sedgwick LLP, one of the world’s leading insurance law firms, Sedgwick Chudleigh’s lawyers have significant experience advising and acting for insurance and reinsurance entities. Our attorneys possess a detailed understanding of the Bermuda market, its policy forms, customs and practices and regulatory environment, and most members of the team have had prior experience working at top London firms and leading barristers’ chambers.
The firm’s insurance and reinsurance practice encompasses almost all lines of business including; casualty/general liability coverage (with particular expertise of the “Bermuda Form”), financial lines, professional liability, life insurance, captive and alternative (re)insurance (including segregated account structures), and property covers.

Trusts and Estates Disputes:
Sedgwick Chudleigh regularly acts for beneficiaries, trustees, executors, guardians, and protectors in both contentious and non-contentious trusts and estates matters before the Bermuda courts. These include disputes over the validity of trusts, claims by beneficiaries seeking disclosure of trust information, applications by trustees to the Bermuda court for approval, or setting aside, of trustee actions, indemnity claims, applications to approve “momentous” trustee decisions, including the restructuring of trust arrangements, applications under section 47 of Bermuda’s Trustee Act 1975, and wills and probate disputes.

Hedge Fund Disputes:
Sedgwick Chudleigh regularly acts for fund investors, fund directors, fund managers, and other fund service providers, including administrators, NAV calculation agents, custodians, auditors, and lawyers in contentious matters relating to hedge fund structures.
Recent matters handled include subscription and redemption disputes arising out of fund suspensions, payments in kind, synthetic side pockets, and gates, fund restructuring disputes, NAV calculation disputes, clawback claims, and professional negligence claims against administrators, custodians, investment managers, and auditors.
In the context of distressed and insolvent funds, Sedgwick Chudleigh has considerable experience of acting for creditors, shareholders, directors, liquidators, and insurers, and assisting clients with regulatory and internal investigations.

Insolvency Disputes:
Sedgwick Chudleigh has extensive experience in insolvency related matters, counselling and representing distressed companies, directors, court-appointed liquidators, receivers and creditors (both secured and unsecured) in relation to corporate insolvency issues.
The team regularly appears before the Bermuda courts on winding up petitions, applications for the urgent appointment of provisional liquidators and receivers, and liquidators’ applications (including sanctions applications), and the firm has acted in some of the leading cases on liquidation and insolvency issues in Bermuda, including in the context of Segregated Accounts Companies.
The team also considerable experience with Schemes of Arrangement and other restructuring options available under Bermuda law.

Corporate:
The firm advises clients on corporate transactions relating to insurers, such as mergers and amalgamations and the use of hybrid capital instruments, and on complex transactions such as financial reinsurance, longevity and lapse risk transfer and loss portfolio transfers. It acted as Bermuda counsel to R&Q Re (Bermuda) Ltd. on its $20 million subordinated note issuance.
