Banking, Finance & Capital Markets:
NPT is constantly providing services to the most important banks of Ecuador, including Pichincha, Produbanco, Bolivariano, Machala and Citibank. The firm also acts as local counsel to foreign banks and multilateral credit institutions. Recent experience includes advising Oikocredit International in credit operations and advising Bladex and CAF as a local consul in credit operations related with Ecuadorian companies. NPT also represented locally a group of syndicated banks and provided legal advice on the negotiation and execution of a multi-jurisdictional (Spain, Colombia, Peru, Ecuador, Mexico, Costa Rica, Guatemala, Nicaragua) syndicated bank loan/ credit agreement, provided to Grupo Embotellador-AJEGROUP.

Corporate / Commercial:
NPT is well experienced in the corporate and commercial area. The firm is able to provide services to a wide portfolio of clients that include international and local corporations, such as Alicorp S.A (Perú), Adecco (Swiss), BWise (Ecuador), Cisco (US), Corpesa Group (Ecuador), DHL (Germany), Epson (US), Herdoíza Guerrero Group, Fleishman (US), OLAM International (Singapur), Quanta Services (US), Telefónica (Spain), Aqualia (FCC Group), among others. NPT is providing ongoing legal advice: (i) Local Joint Investors, on a joint investment performed by local investors and wellreputed Sport Clubs for a major real estate development in a premium residential area. (ii) Sociedad Nacional de Galápagos (SONGA) on the implementation and execution of a credit agreement granted by a French Bank to an important local group of shrimp manufacturing and exporting companies. (iii) TRANSFUEL Group, -fuel/oil transportation company-, on several aspects and commercial negotiations related to a new venture within a shipyard development in Posorja -a growing logistics hub in Guayaquil, where the new international airport is being constructed-.

M&A:
NPT has a strong practice in this area. The firm is in a position to undertake this M&A matters, not only from a legal standpoint, but also from an accounting and financial perspective. The firm past experience includes the acquisition of local pharmaceutical company, the merger of companies in the automotive sector that required prior approval from the antitrust authority in Ecuador, the acquisition of two companies in charge of the freight operation in the Quito and Latacunga airports, the advised foreign companies in the due diligence of companies involved in the paint production and food industry, among other. On this basis, NPT represented FANDANGO MEDIA, LLC, one of the biggest movie tickets seller, and provided legal advice on the acquisition of CINEPAPAYA, a Latin American online movie tickets platform, along with all its local subsidiaries: Peru, Colombia, Chile, Argentina, Bolivia, Ecuador, Honduras, Guatemala, and Paraguay.

Arbitration:
The firm is very active in the arbitration field. The firm’s partner Marcelo Torres is the current President of the Arbitration Center of the Chamber of Commerce of Guayaquil, one of the most respected arbitration forums in the country. The firm currently acts as co-counsel with Hogan Lovells Miami office in an ICC arbitration regarding a contractual dispute with a public utility company.

Litigation:
NPT frequently acts in complex constitutional, administrative, civil and commercial litigation. The firm is representing SabMiller in a multimillion dollar case before the Constitutional Court. Also the firm has been involved in the dispute regarding the broadcasting rights of the Ecuadorian soccer association. Labour & Employment: NPT is very active on Labour & Employment. Antitrust:
Ecuador enacted the first antitrust law in October 2011. Since then, NPT has been involved in the due diligence of market leaders in the following sectors: food and beverage, ceramics, home appliances, sugar and ethanol production, metal, and pharmaceutical. The firm has provided legal advice in bid rigging investigation, in which the antitrust authority dropped all charges.

Energy:
Recent engagements include providing services to Cobra Group - ACS (Oil and Gas division) and China Energy Reserve and Chemicals Company Limited in the evaluation of oil and gas projects in Ecuador. The firm has also provided services to clients like Oleoducto de Crudos Pesados (OCP), Ivanhoe Energy, Lowell Mineral Exploration and Junefield Resources, Gente Oil Ecuador, SantaElenaPetro, Montecz, among others.

Public Procurement:
NPT is providing ongoing legal advice to private industries on the Government project known as “BIO FUEL”, a major national and long-term project to partially replace imported NAFTAS with national alcohol in the production of fuel.
