Capital Markets & Securities:
SHG represents prominent Israeli and Israeli held companies and international underwriters on the listings of Israeli and Israeli held companies on the Tel Aviv Stock Exchange (TASE), the London Stock Exchange Plc (LSE), the Alternative Investment Market of the LSE (AIM) and NASDAQ. The firm has advised its clients on compliance with the Israeli legal implications of rules of such foreign exchanges which apply to such Israeli companies.
SHG’s experience in this field has involved the creation of innovative transactional structures which have included transactions of dually listed companies and various securities offered in the course of such offerings.
The firm has unique experience in dealing successfully with large and complex revolutionary transaction structures. Private Equity:
SHG has built significant expertise representing and advising Israeli’s largest institutional investors (insurance companies, pension and provident funds and investment houses), on a large number of investments in local and international private equity and debt funds.
The firm accompanies the client through all stages of the investment process, from the structuring and incorporation of the limited partnership, through the drafting and negotiation of the limited partnership agreement and the side letter with both local and international counsel, the MFN election phase and through the life of the fund, ensuring that the terms of the investment comply with all Israeli statutory and regulatory requirements.

Banking & Finance: SHG represents Israel’s largest institutional investors (insurance companies, pension funds and provident funds) and advise on their investments, fundraising activities, bond issuances and other financial documents and products in addition to structured financing transactions. The firm represents Israel’s largest pension funds in creating financial packages for Israel’s largest infrastructure operations. SHG was one of the first to deal with various securitisation issues in Israel and our involvement through the creation of structured products has led to accumulated expertise in the field over the last 10 years. The firm launched the first ETF product in Israel that was issued by the predecessor entity of the Psagot Investment House. SHG was the first to work on raising debt for a subsidiary of an Israeli municipality on the capital market through the issuance of bonds to institutional investors. The firm represented one of the first foreign companies to negotiate with the Bank of Israel, the regulator of the Israeli banking market, for the right to trade in foreign securities outside of the Israeli banking system. SHG advises on the establishment and operation of mutual funds and are frequently retained by underwriters and banks for the purpose of performing legal due diligence exercises in this regard.

Real Estate:
SHG represents reputable construction companies, developers, and architects, involving all aspects of real estate development, including acquisition, leasing, zoning and financing, as well as contract negotiation and drafting. The firm represents clients on residential and commercial conveyances, land purchases and sales, in connection with a diverse array of projects including hotels, shopping centers and sheltered housing villages. The firm has vast experience in national zoning plan TAMA 38/2 transactions and urban renewal transactions (“Pinui Binui”). The firm advised Meshulam Levinstein Engineering and Contracting Ltd in one project establishing approximately 100 new housing units; a second project in Kiryat Ono involved the coordination of 64 existing housing units in a TAMA project. SHG assist clients with international real estate transactions and, with the assistance of local counsel, it combines their local knowledge with its experience of structuring large and complex cross-border real estate transactions in order to provide a fully tailored product.

Litigation:
SHG represents both local and foreign clients before all civil courts in Israel including the Supreme Court and administrative courts.
