Banwo & Ighodalo's Intellectual Property and Technology Group assists foreign and local clients in the management, protection and enforcement of their intellectual property (“IP”) and other related rights in Nigeria. Our services include:

Banwo & Ighodalo advises a wide range of local and international clients on several cross border transaction. Some of such cross border transactions which we have advised on are as follows:

1. We are advising BuildDirect, an international online wholesaler and distributor of residential, commercial and industrial building products with headquarters in Vancouver, British Columbia, on the remedies available to it following the infringement of its BuildDirect trademark and domain name in Nigeria. In this regard, we prepared cease and desist letters to the infringer and are currently advising our client on further legal measures to take with regards to the infringement.

2. We recently advised Tropical General Investments Group on the intellectual property related aspects of the transaction involving the acquisition of a significant minority interest (40%) by the Coca-Cola Company, in C.H.I limited, the largest beverage and snacks manufacturing company in Nigeria .

3. We advised GlaxoSmithKline Consumer Nigeria PLC (the “Company”) in relation to the intellectual property aspects of the divestment of its drinks business, (the manufacturing, bottling and distribution of the Ribena and Lucozade brands) in Nigeria (the “Asset Sale”) to Suntory Beverage and Food Nigeria Limited a subsidiary of Japanese giant Suntory Beverage and Food. As part of the transaction, we reviewed numerous documents including the various licenses, permits, trademark and other regulatory approvals issued by relevant government agencies. We also drafted numerous documents including documents pertaining to the transfer of the IP Assets of the company (trademark certificates, Marketing Authorisations, NAFDAC/ SON approvals etc.). In addition, we advised on (and where necessary reviewed and negotiated agreements on) issues relating to the intellectual property assets of the Seller including the Legal framework for the registration and use, licensing and assignment of trademarks in Nigeria; Joint ownership/use of IPRs and regulatory approvals in business; Individual and joint enforcement of IPRs in Nigeria; NAFDAC and SON registration (advisory, collation and preparation of relevant documentation etc.)
