The law firm, established in 1989, is probably the largest Slovenian law firm in terms of the number of fully qualified lawyers specialising in different aspects of commercial and corporate law and providing services solely to legal entities such as companies, financial institutions and governments. Representation of a banking group on the issue of over EUR 100 million pass-through notes by its local subsidiaries (this was ground-breaking work in Slovenia as previously in similar deals foreign SPVs were used and the work required close cooperation with the Bank of Slovenia) and subsequent execution of pass-through agreements.

Corporate/M&A:
The firm has historically been involved in all major M&A (including joint venture and hybrid structure) transactions and has a nationally recognised expertise. M&A capacity of the firm is coupled with its competition specialisation to assure smooth regulatory clearance processes. The firm acted for Enterprise Investors as the purchaser of the Intersport business. Polish Enterprise Fund VII, a private equity fund managed by Enterprise Investors, has signed an agreement to acquire 100% of Intersport ISI shares , the leading sporting goods retailer in the Balkans, in a carve-out transaction from Mercator Group. The value of the transaction was up to EUR 34.5 million.

Litigation & Arbitration:
The firm is regularly involved in litigation and arbitration of commercial disputes arising from various business transactions on behalf of domestic and foreign corporate clients. Representation of a Slovenian investor, Elektrogospodarstvo Slovenije, razvoj in inženiring d.o.o. and HSE (Holding of Slovenian power plants) as lead counsel in ICSID investment treaty arbitration against Bosnia and Herzegovina for the compensation of more than EUR 700 million of damages, making us the only Slovenian – based counsel, acting in front of ICSID.
