Banking & Finance:
Primary legal advisor (2013-2017) for Work service SA, Poland’s largest provider of HR-services, in the process of obtaining financing worth over EUR45 million (initially refinancing loan and overdraft amounting to EUR25 million with further extensions); the international reach of the project included Russia, Cyprus, Slovakia and Russia. Work done within the club deals involved analysis and amendment of almost 200 documents to adjust the structure of security for the loan, as well as in performance of obligations arising out of the agreement. The firm was also responsible for co-ordination with the management boards of subsidiaries based in several European countries and supervision of the client’s foreign-based advisors.

Corporate & M&A:
■ 2016: Wiewiorski Legal advised a leading international investment bank with respect to a structure for the financing of its Polish delivery centre by the group entities, amounting to USD 24 mln
■ In 2016 Wiewiorski Legal advised one of the largest global diversified industrial groups with respect to a simplification of the structure in Poland. Wiewiorski team has also planned and carried out entire process of merging two Polish subsidiaries of the total value EUR 10 mln

Employment:
■ 2017: Assistance to leader from HVAC sector in the process of employees transfer in relation to the merger of two subsidiaries in Poland. Wiewiórski Legal proposed the schedule of actions taking into consideration labour law requirements, assisted in the process of unification of employment internal documentation, as well as prepared documents required under the law in relation to the transfer of undertaking

■Comprehensive services related to the transaction of a long-term lease of a 46,000 square metres warehouse space
■2015-16 Sole advisor for ABC Group – a leading global supplier of components for automotive industry, in the investment project consisting of the long-term lease and fit-out of a new manufacturing plant near Poznań. The facility has an area of ca. 12,600 sq. m.
■Comprehensive advisory and negotiation services (2014-2015) for Fresenius Kabi in the process of leasing office space (over 2,500 sq m) for a large modern business service centre in Wrocław; the agreement included a range of non-standard extension clauses
■2016: Sole advisor for an investment project consisting of the construction of a new manufacturing plant for a global leader in the automotive industry
