Munger Tolles’ corporate practice includes mergers and acquisitions, private equity and investment advice, corporate finance and corporate governance counseling. Significant transactions include representing:
■ Air Lease Corporation in a $2 billion aircraft leasing joint venture
■ Beats Electronics, maker of the popular Beats headphones, speakers and audio software, in several significant financing transactions and its $3 billion acquisition by Apple
■ Berkshire Hathaway in a number of transactions, including a $3 billion commitment to finance the proposed merger between Burger King and Tim Hortons, and its $4.7 billion acquisition of the Duracell battery business from Procter & Gamble

Litigation:

Class Actions:
From consumer claims to securities cases, Munger Tolles litigators regularly represent clients in defending significant class actions. The firm was recognized as a 2014 Class Action Practice Group of the Year by Law360. Recent matters in this area include representing:
■ Bank of America Corporation (BofA) and its senior executives in the Second Circuit affirming a district court’s dismissal of a shareholder class action ruling that BofA had sufficiently disclosed the mortgagebacked securities litigation it faced generally, and that its truthful statements about its litigation exposure were not rendered misleading by the absence of a specific disclosure about a potential lawsuit by American International Group
■ Intel Corporation in a consumer class action involving claims of unfair business practices with respect to the performance of Pentium 4 processors
■ LinkedIn in a consumer class action asserting that feature allowing members to import external email contacts and send emails inviting those contacts to join their networks on LinkedIn violates the federal Wiretap Act, Stored Communications Act, California’s common law and statutory right of publicity and Unfair Competition Law
■ Service Employees International and affiliated government contractors in an arbitration in which a class of approximately 7,000 truck drivers alleged they were subjected to a de facto policy requiring them to under-record time worked in support of the military effort in Iraq
■ Wells Fargo in a putative national collective action and California class action alleging that the company pressured loan underwriters to work “off the clock” but failed to compensate them for their time

Privacy:
With the rise of social networking technologies and companies’ increasing focus on personalizing consumer experiences in the online sphere, privacy and data protection today are important issues to numerous industries. Munger Tolles lawyers have been at the forefront of several cases in this area, including representing:
■ ESPN and Disney Interactive in putative class actions in the U.S. District Courts for the Western District of Washington and the Southern District of New York, respectively, asserting claims under the Video Privacy Protection Act based on disclosure of information about streaming videos viewed through Roku devices to third-party data analytics companies
■ Facebook in appeals before the Ninth Circuit and U.S. Supreme Court challenging the use of cy pres in class action settlements
■ HTC in multidistrict litigation pending in the U.S. District Court for the Northern District of California alleging that Carrier IQ software installed on millions of smartphones manufactured by HTC, Samsung, LG and other mobile device manufacturers tracks user data in violation of the federal Wiretap Act, Stored Communications Act and other federal and state consumer protection laws
