Practice focuses on mergers, tender and exchange offers, stock and asset acquisitions, strategic investments, recapitalizations and joint ventures. Substantial experience in negotiated and hostile public M&A transactions and in a broad range of private M&A transactions representing large multinational companies and private equity firms. Advises numerous special committees of boards of directors and regularly counsels clients on corporate governance and takeover defense.
