Real Estate:
The highly-rated Real Estate Department is involved in major town centre and out-of-town office, retail and leisure developments and in large urban estate transactions with associated landlord and tenant matters. It acts for developers, owners, occupiers, funders and UK-based and international corporate and private investors. It also has particular expertise acting for individuals and investors, both on and offshore, on the purchase, financing and sale of prime residential and “trophy” property. Skills include property finance and secured lending, property taxes, construction, enfranchisement, environmental law and portfolio management.

Key deals:
■ Advising an international entrepreneur on the taxefficient transfer of £30m of shares in a privately owned business into trust for children in advance of an IPO. This involved asset protection considerations, securing business property relief for inheritance tax purposes and hold-over relief for capital gains tax purposes. It also required swift service in order that the transfer could occur suitably in advance of the IPO.
■ Reorganising two very large non-UK Will Trusts, originally set up offshore by a non-domiciliary and which own a trading group with subsidiaries in various countries together with a valuable portfolio of investments held through offshore structures.
■ Advising a non-UK national, tax resident in a second jurisdiction but who also lives partly in a third country and has assets held personally or in trust in both those countries and a number of other jurisdictions, in relation to her Will, succession planning and wealth structuring, including the devolution of those assets.
■ Advising the trustees of a Jersey settlement in relation to the disclosure of information relating to the trust in the context of ancillary relief proceedings in the English Courts.
■ Taking War Horse and One Man, Two Guvnors to Broadway
■ Advising a UK based seller in relation to the sale of an international commodities trading group to a non-UK buyer
■ Acting for a German buyer in relation to the acquisition of a UK-based specialist engineering business
■ Advising a major Continental installer of photovoltaic power plants on its projects and commercial relationships in the UK
■ Advising a mix of UK and international clients on the sale and acquisition of prime central London and high value country houses, farms and estates with individual transaction values of over £100 million
■ Advising non-UK resident clients on how best to structure the sale or purchase of residential property for succession and tax planning
■ Advising non-UK resident clients on buying UK property to hold as an investment and the associated tax analysis

International Work:
The firm provides English legal advice in a global context for international clients in both their business and personal lives, including personal estate planning, worldwide business activities and multi-jurisdictional disputes. Much of this work arises in particular from the USA, Germany, Switzerland, the Middle East and the Far East.
