Corporate/M&A - China

Previously based in Tokyo, the Shanghai-based Yoshio Iteya is lauded for his ability to "quickly grasp what the client wants." Recent highlights include advising Asahi Group Holdings USD1.488 billion acquisition of an outstanding interest in Calpis from Ajinomoto. "He is to the point and has a lot of experience," enthused another source.

Shigehiko Ishimoto previously served as chief representative of the firm's Beijing office for nearly a decade. Now back in Tokyo, he continues to utilise his Chinese language skills and local knowledge when advising clients on China-related matters. He has broad knowledge of M&A and has also been involved in project financing, restructuring and IP issues.

Foreign Desks Described by a client as being "very strong on China” work, this Tokyo-based team is known for its skilled handling of complex regulatory matters and its knowledge across a range of sectors. Banking & Finance - Japan

Satoko Kuwabara is singled out by sources for her exceptional strength in handling cross-border M&A financings.

Masanori Sato frequently works with major international clients on structured finance transactions.

Toru Ishiguro is highly respected, particularly for advising foreign clients on regulatory matters, drawing on his expertise as a former member of the Financial System Council.

Takahiro Kobayashi focuses his practice on LBO and structured finance matters. He recently advised SoftBank on the acquisition of Fukuoka Yafuoku Dome, a cross-border deal involving the government of Singapore.

Peers recognise Eriko Ozawa as a prominent figure in the market. She is known primarily for her experience of real estate finance and structured finance, and is further appreciated for being client-friendly and staying calm under pressure.

Capital Markets - Japan

With nearly 30 years of experience in capital markets Masanori Sato is renowned for his securitisation practice. He recently advised Nippon Life Insurance on its first hybrid security issuance; step-up callable subordinated notes valued at USD2 billion.

Katsumasa Suzuki is recognised as "a main player" in the debt and equity markets. He advised the Japanese Ministry of Finance and Japan Tobacco (JT) on the global issuance of the government's shares in JT, and the repurchase of the shares by JT.

Toru Ishiguro's recent work includes advising Makino Milling Machine when it issued JPY12 billion of convertible bonds in the European markets. The bonds were listed on the Singapore Exchange. Sources commented that "he's very talented and experienced," stressing that "he is undoubtedly one of the top players in the market."

Harume Nakano is respected for her accomplished handling of J-REIT matters. By way of illustration, she advised Prologis on the establishment and IPO of a J-REIT, with assessed assets valued at USD2 billion.

Yasuhiko Fujitsu has a notable presence in the REIT market, and also advises on hybrid securities, especially in the insurance sector. She advised Nichias Corporation on the issuance of JPY10 billion of convertible bonds which were sold in the Swiss market under Regulation S of the US Securities and Exchange Act.

Satoshi Nakamura is known to be particularly skilled in samurai bond matters. He was seconded to the Japan International Co-operation Agency as an expert on the Financial Instruments and Exchange Act to promote corporate law development in China. 

Eriko Ozawa advised GE Japan on its co-investment programme with the Canada Pension Plan Investment Board into Tokyo office buildings. Peers note his established securitisation practice.

Takahiro Kobayashi is regarded as "an expert in securitisation, particularly as it relates to project finance." He has a particular focus on transactions in the energy sector, including renewable energy.

Corporate/M&A - Japan

Gaku Ishiwata recently counselled Unison Capital Group on the sale of sushi bar operator Akindo Sushiro to UK-based private equity firm Permir, in a deal valued at USD1 billion. Sources praise his commerciality and observe that he is a well-known figure in the market.

Satoko Kuwabara is regarded by clients as an experienced lawyer, while peers also have great respect for her practice. She recently represented Jupiter Telecommunications (JCOM) in relation to the purchase of JCOM shares by NJ Corporation and KDDI in a JPY221 billion deal.

Shin Kikuchi maintains a strong reputation for his work in the domestic corporate sphere. He is recognised for his ability to provide clients with practical advice.

Hajime Tanahashi is lauded as "very good and sensible" by peers, who add: "He's a safe pair of hands." He recently represented Micron in its USD2.5 billion acquisition of Elpida.

Yuto Matsumura is appreciated by clients for his international focus: "He collaborates with foreign firms, and has good relationships with US and European firms in particular."

Also well known for his strong tax practice, Atsushi Oishi is praised by clients in the domestic corporate space for being "timely and very realistic on fees." He recently acted as joint-lead counsel to SoftBank regarding its USD1.9 million agreement with eAccess, through which the latter entity became SoftBank's wholly owned subsidiary.

Tomohiro Tsuchiya recently acted for Renesas Electronics on its USD3.86 billion acquisition by an investor group that included Nissan, Panasonic, Toyota, Canon and Nikon, among others.

Clients report that Satoshi Kawai has "extensive knowledge of the Japanese financial sector, especially for insurance," adding: "He is one of the most experienced M&A lawyers in Japan."

Shigehiko Ishimoto heads the Tokyo office's China desk. He was chief representative in the firm's Beijing office until 2010 and continues to handle a range of Chinese transactions including M&A and restructuring matters.

Yoshio Iteya is the key partner of the firm’s Shanghai office and has been described as "a pioneer" in cross-border transactions between China and Japan. He travels frequently between the two countries, and remains involved in numerous high-stakes matters - for example, he recently assisted Asahi Group Holdings on its acquisition of Calpis from Ajinomoto.

Masayuki Matsuda specialises in international copyright protection issues and has represented many blue-chip companies. He is also a visiting professor at two prestigious Japanese law schools.
