A.F. Mpanga was founded in October 2003 and is built on independence, integrity, fidelity and excellence. The firm’s values and work ethic have enabled it to build a reputable clientele which includes leading local and international financial institutions, private investment funds, leading manufacturers and industrialists, international and local non-governmental organisations as well as high-net-worth individuals. Its five partners have a combined experience of over sixty-five years in England and Uganda. The firm’s main practice areas are banking and finance, corporate mergers and acquisitions, intellectual property, infrastructure, energy, oil and gas and litigation. A.F. Mpanga forms part of the Bowman Gilfillan Africa Group. The Bowman Gilfillan Africa Group advises clients throughout Africa. The group has offices in five countries in Africa - Kenya, South Africa, Tanzania, Botswana and Uganda and has a best friends relationship with leading Nigerian firm, Udo Udoma & Belo-Osagie. In addition, the firm has also developed useful links with law firms in South Sudan and Rwanda and is a member of Lex Mundi. Mr David F K Mpanga was appointed as a member of the users council of the LCIA-MIAC Arbitration Centre and a Board Member of the Insurance Regulatory Authority while Mr Ernest Wiltshire was elected as the Vice President of the Uganda Law Society.

Main Areas of Practice:  

Banking & Finance:
• Currently advising a client in relation to a US$600 million financing of the 600MW Karuma Hydropower Project
• Advising the leading manufacturer of corrugated packaging products in Uganda on a US$32 million financing from Standard Chartered Bank (London)
• Advising Wananchi (Group) Holdings Limited on the Ugandan law aspects of an additional US$100 million investment from Helios Investment Partners
• Advising the East African Development Bank, as Lender on the construction of a commercial office development in Kampala
• Advising the East African Development Bank, as Lender on the construction of a shopping and commercial retail development complex in Entebbe
• Advising the National Development Bank of Sri Lanka on the legal and regulatory regime governing financial institutions in regards to Islamic Banking
• Advising Eaton Towers Limited in a new asset acquisition financing arranged by the IFC of a telecom infrastructure license entity in Uganda

Corporate, Mergers & Acquisitions:
• Currently advising Orange SA (previously known as France Telecom) in the disposal to Africell, of its majority shareholding held by Atlas Services Belgium in its Ugandan subsidiary, Orange Uganda Limited.
• Currently advising Eaton Towers, a leading independent towers company in Uganda, in the acquisition of the tower infrastructure segment of Bharti Airtel in Uganda
• Advising Harvard Management Company on the acquisition of shares and the assets of two agro-forestry companies in Uganda
• Advising the China Africa Development Fund (CADF) on its acquisition of shares in a local mining company with an exploration license for phosphates, base metals, and uranium covering 26 sq.km in Tororo district
• Advising a Canadian Trust company on the sale and deregistration of three aircrafts sub-leased to a Ugandan aircraft operator
• Advised a South African insurance company on its proposed acquisition of a stake in an insurance company in Uganda following the increase of the statutory minimum capital requirement of all insurance companies in Uganda
• Advised Lion Assurance Company on the funding and increase of its capital following the increase of the statutory minimum capital requirement of all insurance companies in Uganda
• Advised Alexander Forbes Equity Holdings Proprietary Limited and its subsidiaries on the Ugandan law aspects regarding the restructuring of its capital structure, involving, inter alia, various debt to equity conversions, preference share redemptions, share buy backs and acquisitions of loans outstanding as well as the entry into of a new term loan agreement, revolving credit facility agreement and two sets of preference share funding instruments issued by shareholders in Alexander Forbes Equity Holdings Proprietary Limited in connection with the restructure
• Currently advising Ascent Capital on its US$ 15 million private equity investment in the largest fast moving consumer goods company in Uganda

Infrastructure & Natural Resources:
• Currently advising a developer of two Hydro Power projects on River Ndugutu and River Sindila
• Currently advising a developer of a proposed Hydro Power project on River Nyamagasani
• Currently advising one of bidders for the construction of the Uganda National Oil Refinery
• Currently advising one of the licensed oil production companies in Uganda on the legal and regulatory aspects regarding the development and establishment of a Central Processing Facility, a Liquefied Petroleum Gas processing facility as stipulated in its Field Development Plan
• Currently advising EleQtra, a leading player in the development, investment, management and operation of private infrastructure in emerging economies in the acquisition of land for the proposed development of a solar park in Eastern Uganda
• Currently advising one of the leading premium international hotel brands on the establishment and construction of a 5-star Hotel in Kampala
• Advising Nedbank Capital in respect of a 4G LTE telecom nework roll-out project in Uganda
• Advising Standard Bank of South Africa and CFC Stanbic Bank in the financing and structuring of the acquisition and lease of rail-rolling stock by the Rift Valley Railways

Capital Markets & Regulatory:
• Currently advising Prudential Investment Management Inc. on the regulatory aspects for the provision of investment management services in Uganda
• Advising Noor Bank on the legal and regulatory aspects of the capital markets regime in Uganda
• Advising Barclays Wealth Management on the licensing and other regulatory aspects of the capital markets regime in Uganda
• Advising Standard Chartered Bank Singapore on the regulatory aspects of cross-border investment activities in Uganda
• Currently advising Facebook Inc. on the telecommunication and competition law regime applicable to the introduction of certain products with a leading mobile network operator in Uganda
• Advised Orange SA (previously known as France Telecom) on the application and approval of the competition/anti-trust law aspects during its disposal to Africell, of its Ugandan subsidiary, Orange Uganda Limited. This was the very first approval from the Uganda Communication Commission (the industry Regulator) under the newly established Competition Secretariat 

Litigation & Arbitration:
• Representing Reynolds Construction Company (RCC) in a suit against the government objecting to the irregularities in the tendering process in regards to a project for the completion of the Northern By-Pass in Kampala amounting to €65 million Euros
• Representing one of the leading financial institutions in Uganda in class action against 12 Banks concerning the legality of the levying of bank charges on certain transactions in Uganda
• Representing Ezee Money Limited against one of the leading mobile telecommunication operators in Uganda under the anti-competitive practices in the telecom industry in Uganda
• Representing TOTAL E&P, one of the licensed oil & gas exploration and production companies in Uganda, in a suit concerning the disposal of its waste products
• Advising the Nation Media Group on its challenge of the constitutionality of certain provisions of the Press & Journalists Act Cap.105
