■ Represented Indonesian-listed investment company PT Bhakti Investama Tbk as guarantor in connection with its offering of US$365 million of 5.875% senior secured notes due 2018 through its wholly-owned Singapore subsidiary Ottawa Holdings Pte. Ltd. Partners Andrew Hutton, Joel Hogarth, and Eric Sibbitt.
■ Represented Royal Chemie Corporation Limited as white knight investor in connection with the restructuring of Continental Chemicals Corporation Pte. Ltd. Partner Bertie Mehigan and counsel Timothy Tan.

M&A:
■ Represented leading international genomics organisation BGI-Shenzhen in its acquisition of Nasdaq-listed Complete Genomics, the first time a Chinese company has successfully acquired a US public company. Partners Wenseng “Wendy” Pan and Paul Scrivano.
■ Represented Synacor and Identity Management in its formation of a joint venture with Beijing-based Maxit Technology Inc. Partner Jennifer DePalma, of counsel Howard Chao, and counsel Ruchun Ji.
■ Advised the Special Committee of the board of directors of Feihe International, Inc. in connection with a merger with affiliates of Morgan Stanley Private Equity Asia in a going private transaction. Partners Paul Scrivano, Ke Geng, David Roberts, counsel Nima Amini and Jennifer Taylor, and associate Jiangshan Tang.
■ Advised the independent committee of ShangPharma Corporation in a merger agreement to take the company private. Partners David Roberts, Paul Scrivano, and Ke Geng, and counsel Nima Amini.

Restructuring:
■ Represented a major international financial institution as arranger in connection with the restructuring of US$365 million fully convertible debentures issued by the Lodha Group, a leading Indian real estate group. The facility was one of the largestever foreign investments in the Indian real estate market. Partner Bertie Mehigan, counsel Damien Coles and Pooja Sinha.
■ Represented the ad hoc bondholder committee in connection with the restructuring of the US$160 million bonds issued by Arpeni Pratama Ocean Line Investment BV and guaranteed by PT Arpeni Pratama Ocean Line Tbk., a listed Indonesian shipping company.
