• Advising Izurium Capital, a private equity fund, on a number of cross-border acquisitions, including the purchase of mining businesses in Russia, Congo and Canada; investment in Fab.com, a US designer company; purchase of a controlling stake in Dynacast International
• Acquisition by Uralvagonzavod of several heavy industry businesses throughout Russia, including Chelyabinsk Tractor Factory - Uraltrack
• Counsel to Gazprom subsidiaries in respect of contemplated acquisition of TGK-7, an energy producing monopoly in the Volga area, Russia, and the planned joint venture with Integrated Energy Systems and the transaction with Inter RAO UES in respect of a power plant construction in Kaliningrad, Russia

Capital Markets / Banking & Finance:
• Advising the National Stock Market Participants Association (NAUFOR), the Association of Russian Banks (ARB) and the National Foreign Exchange Association (NFEA) on the upgrade of the 2009 version of the standard OTC derivatives master agreement to the netting-eligible 2011 version approved by the Federal Financial Markets Service
• Drafting the industry-standard documentation (definitions) for Russian domestic OTC commodity derivatives markets, upgrading the equity and fixed income derivatives annexes (definitions) to the Russian standard derivatives documentation to include foreign securities as eligible underlying assets and drafting a credit derivatives annex (definitions) to the Russian standard OTC derivatives market documentation
• Advising the National Settlement Depository on setting up a trade data repository for OTC derivative transactions
• Advising VTB on a number of new product development projects, including Russian law governed hybrid fixed-income and credit derivatives products and collateralised jumbo swaps
• Advising Sberbank on the development of a trade specific collateral arrangement for a swap transaction as well as on hybrid credit derivative structures
• Advising some of the leading global financial institutions (Morgan Stanley, UBS, Nomura, Barclays Capital, Credit Suisse) on various aspects of OTC derivatives trading
• Advising major Russian telecoms: Uralsvyazinform, CenterTelecom, Dalsvyaz, Volgatelecom etc. on obtaining CLN-backed loan financing from international bank consortiums
