Administrative & Public Law: This legal team is highly specialised in representing clients before the Department of Culture, the Department of Sports and the National Film Agency in a wide range of matters,which include adjudication and rulemaking procedures on the subject matters handled by those bodies of government. The lawyers also handle complex matters before the Tribunal de Contas da União (TCU - governmental body equivalent to the US General Accountability Office) and assist clients in all types of public bidding. Furthermore, the law firm deals with general governmental law and regulation, management of public funds, project finance and public procurement. The team has recently worked on the structuring of the largest investment fund for cinema in the Brazilian market and on the development of a new regulatory framework for audiovisual and entertainment industries, currently under discussion before the Brazilian Congress,among other relevant projects.
Corporate: Cesnik, Quintino e Salinas advises its clients in setting up new corporate structures, restructuring, mergers and acquisitions and corporate governance. The firm’s lawyers have recently been involved in important transactions regarding the restructuring of a leading Brazilian audiovisual producer, and have developed cutting-edge legal structures for the biggest international feature film co-productions in the Brazilian market.
Intellectual Property: The IP team advises on all aspects of IP and has extensive experience in copyright and trademark matters.As part of a crossoffice entertainment team, the IP lawyers have a sound expertise in dealing with international audiovisual co-productions and the Brazilian mechanisms and regulations for financing these productions. The lawyers also have experience on technology transference, trade secrets, trademarks and patents.The firm’s team is well versed in negotiating licensing and distribution agreements, acquisition of content, IP key terms in source and supply agreements, partnerships, joint ventures, IP audit and in the development of IP strategies for protecting content and adding business value.
Labour Law: This team handles matters concerning Brazilian labour law in general, commercial representation and collective agreements,with a special focus on the media and entertainment industries employment practices.
Litigation: Cesnik, Quintino e Salinas’ litigation team handles cases before any court nationwide. Subject matter varies from public and administrative law, IP and general commercial. The litigation department also has experience in handling piracy issues and clients’mass litigation. INTERNATIONAL WORK: The firm has extensive expertise in dealing with cross-border transactions for financing audiovisual co-productions and conducting technology transference advisory and IP audit for foreign clients in the context of joint ventures in Brazil and abroad. More recently, it has advised on international co-productions between Brazil and several European nations, including France,Hungary and Portugal. In regard to the technology transference and IP audit, the firm has advised a foreign client in a recent joint venture in Brazil and in another in Argentina.
The firm also has vast experience in assisting the Brazilian operations of foreign clients, such as multinational cable TV channels and foreign live entertainment and content producer companies.
