Main Areas of Practice:
Arbitration & Litigation:
The firm represents clients before all French jurisdictions and in arbitration proceedings (ICC, DIAC, SIAC, LCIA, ADCCAC), with a practice specifically recognised in four areas: litigation in relation to mergers and acquisitions; disputes amongst shareholders, securities litigation; construction, property and property development arbitration and general commercial litigation. The department has also developed an extensive expertise in financial law and enforcement cases.
Asset Tracing & Recovery: The Asset Tracing Practice aims to identify and recover all assets directly or indirectly held both in France and abroad by a debtor. The firm has implemented innovative tools based on enforcement procedure laws ensuring the swift recovery of the client’s debts and relies on an international network of specialists in a wide range of domains, financial, IT and economic intelligence experts and lawyers, with whom it works on a daily basis.
Capital Markets: The capital market group practices in the debt (including high-yield), equity, equity-linked and structured products areas, acting for issuers and underwriters. The firm’s lawyers strive to offer innovative capital-raising solutions tailored to clients’ needs. Corporate Criminal: The firm also assists clients in relation to whitecollar crime, and provides advice to companies and their officers, whether as defendants or as civil plaintiffs to a criminal procedure or enforcement proceedings before the regulator.
Corporate - M&A - Private Equity: The Corporate Practice is active in all types of transactions relating to mergers and acquisitions of listed or non-listed companies, including tender offers, LBO transactions, private equity, capital development or venture capital. It advises investment funds and family offices, as well as banks, industrial companies and service companies. It also acts for issuers and banks in capital increase operations, flotations/IPOs and the issuance of equity-linked products.
Economic: The firm regularly assists its clients in matters relating to economic law in all activity sectors, in negotiations with their commercial partners or in litigation before civil, commercial or administrative courts, in litigation relating to trade practice and unfair competition.
Employment: Skilled in both advisory work and litigation, the team has significant experience in dealing with change management: the definition of a company’s social strategy, the management of collective worker – employer relationships (including collective negotiations), questions regarding work organisation, salary policy (including pensions, social welfare, employee saving schemes, management packages), individual worker – employer relationships, and managing relations between the company and the labour authorities. The team is renowned for the work it has done with regard to restructurings, labour aspects of mergers and acquisitions, and successful management of labour disputes. It has a long practice of litigation, the latter being completely integrated.
Energy & Projects: The Energy and Projects Department has developed extensive experience in the drafting and negotiation of contracts for renewable energy power stations and infrastructure (solar power, air turbines, biomass), both in France and abroad.
Information Technology: The Information Technology Practice provides services to corporate clients, fast growth and technology companies across a broad range of matters: hardware, software and IT services, Internet and e-commerce, online distribution, outsourcing and cloud computing, telecoms, as well as ‘clean’ technologies and energy companies. The team also has recognised expertise in technology litigation and the implementation of IP and IT aspects of M&A transactions. Over 70% of the matters are of international scope.
Tax: The Tax Practice of the firm offers the whole range of tax services both to companies and individuals. As regards companies, the Tax Practice scope of services covers French and international tax law advice relating to M&A, real estate transactions, intragroup transactions (including transfer pricing), VAT and local taxes. With respect to individuals, the Tax Practice deals with wealth tax and investments tax structuring. In addition, the Tax Practice is specialised in IP/IT taxation.
