Litigation:

• Hynix Semiconductor, Inc. in a highly publicised antitrust case filed by Rambus over RDRAM memory technology in which Rambus claimed US$3.95 billion in damages, which under California law would have automatically trebled to US$11.9 billion; in November 2011 a San Francisco jury ruled in favour of Hynix in a sweeping trial win 
• Bank of America in several multi-billion dollar cases in which it was named as an alleged “successor-in-interest” to Countrywide Financial Corporation. These claims attack the Countrywide merger and the Bank’s efforts to maintain Countrywide as a separate corporate entity 
• A landmark victory before the Supreme Court in United States v. Jones, in which the Court, in a unanimous decision, held that the Fourth Amendment prohibited law enforcement from using GPS devices to conduct surveillance on suspects without a valid warrant

Transactions:

• Microsemi Corporation in its hostile bid to acquire Zarlink Semiconductor and in its subsequent agreement to acquire all of Zarlink’s outstanding common shares and debentures for approximately US$525 million 
• The International Olympic Committee in its awarding of broadcast rights across all media platforms for the 2014 Winter Games and the 2016, 2018, and 2020 Olympic Games to NBC Universal in an agreement valued at US$4.38 billion 
• Underwriters in Toyota Motor Credit Corporation’s US$1 billion benchmark offering due 2014 Regulatory/Government Affairs: 40 partners, 50 fee earners worldwide Highlights include advising: 
• Clients in Congressional, SEC, DOJ, state attorney-general, and self-regulatory investigations 
• Financial institutions regarding regulatory and compliance obligations under the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, the Investment Company Act of 1940, and other federal and state laws and regulations affecting investment companies, advisers, and broker-dealers 
• Publicly traded companies on corporate and securities issues, including the public offering process, corporate governance best practices, “option backdating” and restatement issues, and proxy contests 
• US and non-US companies on the application of US export controls, economic sanctions, the FCPA, antiboycott, and customs laws to their international activities
