Practice Areas: Mr Froio concentrates primarily on alternative entities, including statutory trusts, partnerships, limited liability companies and special purpose corporations. He focuses on structural and governance issues relating to alternative entities and their utilization in structured finance, cross-border securitizations and other commercial transactions, including mergers, acquisitions, joint ventures, investment funds, real estate, trust preferred securities, insurance premium financings and life settlements. He regularly provides third-party legal opinions on issues relating to Delaware entities, the Delaware Uniform Commercial Code and other matters of Delaware law. Mr Froio serves on the Delaware committee responsible for drafting the Delaware statutory trust statute.
