PRINCIPAL AREAS OF WORK
Corporate/M&A: A full range of corporate finance services, which extends to all aspects of domestic and cross-border M&A including recommended and unsolicited public offers, all areas of private equity including buyouts, fund formation and venture investment, and equity capital markets including IPOs, rights issues, open offers and placings on both the domestic market and AIM.
Commerce & Technology: Agency, distribution, franchising, consumer legislation, data protection, e-commerce, intellectual property rights, outsourcing, advertising, sponsorship, sales promotion, pharmaceutical, sale of goods, technology transfer and R&D agreements.
Employment & Pensions: All aspects of contentious and non-contentious employment and pensions law for employers and pension schemes across all industries, including financial institutions, retail and manufacturing, media, technology and leisure. The firm also acts for senior executives.
EU & Competition: Domestic and EU mergers and acquisitions, competition, state aid and public procurement, cartels, compliance, dominance and abusive conduct, distribution and other verticle agreements, EU and regulatory, litigation and dispute resolution, trade and customs and judicial review proceedings.
Finance: All aspects of finance transactions, including acquisition finance, real estate finance, funds finance, structured finance, asset finance, trade finance and regulatory banking law.
Financial Markets: Serving the global asset management and securities industry. Advising all participants in the financial markets who trade, manage or provide facilities for trading or settlement of securities (including derivative instruments and commodities), and include both traditional and alternative (hedge, private equity, real estate and commodities) asset managers, brokers and dealers in all forms of financial instruments and both physical and electronic stock exchanges, trading platforms and clearing and settlement systems.
Intellectual Property: International trademark, copyright and patent litigation, anti-counterfeiting, international trademark registration and the identification, exploitation and protection of intellectual property rights.
Litigation: Handles a broad range of complex High Court commercial litigation, often involving multi-jurisdictional elements. Specialist litigation areas include banking and securities litigation as well as fraud. A significant international arbitration capability includes three arbitrators. The firm’s specialist ADR Services Unit is a market leader in the mediation field, boasting two of the top five mediators in the country. The Litigation Practice also includes a specialist IT and Telecoms Litigation Group, a Property Litigation Group and an Advocacy Group.
Media & Communications: Extensive experience in almost every area of the media and communications industry, including film and television production, film finance, broadcasting and communications, digital media, merchandising and publishing, computer games, internet, mobile and music.
Real Estate: All aspects of commercial real estate work are handled for private and major plc clients, including property companies, developers, institutions, retailers and hoteliers. In addition, specialist groups advise on planning and environment issues, property finance, public and private funding programmes for major infrastructure projects, construction and local government finance issues.
Reconstruction & Insolvency: Complex insolvency restructurings and workouts for corporate and financial institutions and appointment work for a range of clients including large investors, finance houses, venture capitalists and major accountancy firms.
Tax: National and international taxation advice, advising corporate clients and individuals on structuring their tax affairs and transactions in the most efficient way.
