• Represented shareholders of AS VG Kvadra Pak in 50% shares acquisition by VAN Genechten Packaging N.V. In the result of this transaction Europe’s largest independent folding carton producer Van Genechten has become an owner of 100% shares of VG Kvadra Pak
• In January 2012 SIA Palink,which is the third largest food retail chain in Latvia, was unjustly declared insolvent. The case attracted increased public attention as the company of 100 MEUR yearly turnover was declared insolvent for a debt of 20 000 EUR. BORENIUS advised the company throughout the insolvency process and assisted the management to continue company’s operations until the revocation of the insolvency judgement.

• The Claimant fruit-vegetable processing company SIA SPILVA asked the court to prohibit the competing company SIA MILDA KM to use the sign ‘china sweet and sour sauce’ claiming it is SIA SPILVA’s trade mark infringement. The court refused claim of SIA SPILVA. Spilva and Milda are market leaders between food producers in Latvia.

Dispute Resolution:

• Assisted JSC Ventspils nafta (one of the biggest Latvian oil refineries) in legal dispute regarding validity of share purchase agreements. The firm’s client sold shares in two Latvian companies to a buyer which later became insolvent. Receiver of the company terminated the agreements, because buyer has not performed its obligation to pay the price in full. The firm’s client disputed termination of the agreements at the court. Nevertheless receiver brought a claim against their client for return of the received part of the purchase price.
• Represented JSC Latvijas kugnieciba (the biggest Latvian shipping company) in several cases against former members of the Management Board and Supervisory Council regarding damages and unjust enrichment. Former members of the Management Board concluded various agreements which were against interests of the company and former members of the Supervisory Council did not act to protect the company from fraudulent transactions. Furthermore, members of the Supervisory Council several years received considerable reward for fulfilment of their duties although the shareholders’ meeting did not adopt a resolution which would establish the amount of such reward.Thus, the amount of consideration was decided by the Management Board.
