Corporate/M&A: Spain

Javier García de Enterría is held in high esteem for his M&A and corporate work, and he has led the team on many of its most high-profile deals. Sources describe him as "an excellent lawyer and an outstanding individual."

Javier Amantegui is a popular choice for private equity clients, and he has noted expertise in LBOs and venture capital transactions. 

José María Fernández-Daza's recent clients include Kimberly-Clark and Infrared Capital Partners. He has experience in joint ventures, shareholders' agreements, and the sale and acquisition of companies.

Ignacio Ojanguren specialises in corporate work related to the banking, industrial, and insurance sectors. 

Barcelona-based Pablo Bieger's key area of expertise is corporate finance.

Competition lawyer Miguel Odriozola splits his time between Madrid and Brussels, assisting Spanish and international companies with Spanish and EU competition law. He is revered for his keen understanding of the workings of the European Commission, with sources adding that he is "extremely bright and very practical."

The "rigorous and 100% dedicated" Ana Vide is a native Portuguese speaker and qualified in Portugal. She is highlighted by sources as an asset for international mandates, particularly on the competition side.

The Latin America desk advises international and domestic clients on a variety of cross-border deals. The team includes English, Spanish and Portuguese speakers, and many of the lawyers hold legal qualifications from Latin American and US universities. An example of its work includes advising AEI on its USD4.8 billion sale of energy assets in Brazil, Chile, Colombia and Peru to a group of global energy companies. The key contacts for the desk are Javier Amantegui, José Guardo and Ignacio Ojanguren.

Well regarded across the board, Fernando Torrente García de la Mata remains a leading figure in the practice.

Javier Villasante continues to impress market sources with his broad client base and excellent negotiation skills.

Víctor Xercavins is a well-known figure in the Barcelona market. He has impressive US knowledge, having previously worked as managing partner in the New York office.

Barcelona-based Raimon Segura advises clients such as Bioplus 2000 and Michelin.

Javier Carvajal receives high praise from both peers and clients.

Juan Aguayo is singled out for his solid knowledge and diplomatic approach to negotiations.

Madrid-based Federico Roig is approachable and gives excellent advice, according to sources.

Heading the firm's Germany desk, dual-qualified Kai Christian Fischer handles German-Spanish M&A and corporate work. A team of 35 assists with cross-border transactions and international disputes, helping Austrian, German and Swiss clients doing business in Spain and Portugal, as well as advising Iberian and Latin American companies active in Austria, Germany and Switzerland.

The Latin America desk is headed by Jaime Llopis, who previously worked in the Sao Paulo office. He assists with investment projects across Latin America, and helps clients with acquisitions, public contracts, corporate planning and setting up new businesses in the region. He is assisted by a team of lawyers in the Spanish and Portuguese offices.

The firm's French desk is managed by Nuria Bové. The group assists French clients working in the Iberian Peninsula, as well as Portuguese and Spanish clients active in France. 

Omar Puertas heads the China group from Shanghai. In Spain, the key contact is Antonio Barba. The team, made up of Chinese, Portuguese and Spanish lawyers, focuses on assisting Iberian clients investing in China, and Chinese companies active in Europe.  

The Middle East desk includes a team of Spanish, Portuguese and Arab lawyers, who assist clients from the Gulf with transactions in Iberia, Latin America and North Africa. It also helps Portuguese and Spanish clients active in the Middle East, and the firm is part of ISFIN, a network of law firms specialising in Islamic finance. Based in Barcelona, Josep Marsal is the key contact.  

Competition lawyer Cani Fernández heads the firm's EU and competition law practice. She splits her time between Madrid and Brussels, advising Spanish and international clients on EU and Spanish competition matters. She gains superb feedback, with sources highlighting her international experience, language skills and technical abilities.

Andrew Ward focuses on competition and EU law. His impressive experience includes previously working as a barrister in London and as an associate at a major law firm in Brussels. He acts for clients on Spanish and EU competition matters, as well as state aid issues.

Iñigo Rubio Lasarte is the managing partner of the London office. He advises clients on a range of corporate transactions, with a particular focus on infrastructure and real estate work. 

Department head Armando Albarrán advised on several of the firm's most significant deals. One source said he is "pragmatic, has the right contacts, and enjoys a very good reputation."

Antoni Valverde Roy is viewed by sources as "a major name in Barcelona." He advises on major deals in the TMT and private equity sectors.

David Franco is increasingly visible in the market. He recently advised Total on the EUR3.7 billion sale of its stake in Cepsa to Abu Dhabi fund IPIC.

Market observers appreciate Javier Gómez-Acebo's private equity and private M&A work.

Sources describe managing partner Fernando Vives as "one of the top names in the market for M&A work."

Álvaro López-Jorrín retains an admirable reputation, particularly for his work in the financial sector. One source says he is "fantastic – young but brilliant." 

Ramon Girbau receives strong praise for his wide-ranging expertise of corporate matters in the financial sector. "He has commendable knowledge of our company and the sector as a whole," says one observer.

Mónica Martín de Vidales recently led a key deal advising the Petersen Group on its acquisition of a further 10% stake in YPF.

Interviewees describe Sergio Sánchez Solé as "constructive, pragmatic, and always available."  

Silvestre Arana heads the German desk and handles M&A and regulatory work in the energy sector. The group advises German clients active in Spain on all the legal and tax aspects of Spanish legislation, and helps Spanish clients investing in German-speaking countries.  

Recently returned from the Shanghai office, Francisco Soler Caballero specialises in foreign investment in China. He speaks Spanish, Mandarin, English, French and Italian.

Alberto Collado is the first point of call for the Asia-Pacific desk. The team has expertise throughout the region, and has previously advised Spanish companies on their work in China, Japan, Korea, Thailand and Vietnam.  

The France desk at Garrigues advises French clients investing in Spain and Portugal, and Spanish clients active in France. The group assists with corporate restructuring, the sale and purchase of companies, real estate transactions and litigations.

The key contact for the Italy desk is Claudio Doria. The group represents Italian clients in Spain, Portugal and Latin America, as well as Spanish clients active in Italy. Its team of Spanish and Italian speakers is able to advise on a broad range of matters, including corporate restructuring, corporate and project finance, tax and capital markets. 

Garrigues' India desk helps Spanish companies establish themselves in the country, as well as advising clients on their investments in India. The firm is also on the board of trustees of Fundación Consejo España - India, alongside Acciona, BBVA and Santander. 

The USA desk offers a team of lawyers with long-standing experience in assisting Spanish investors in the US, and North American companies active in Spain and Portugal. The desk is jointly managed by Javier Marzo in Madrid, and Ferrán Escayola in Barcelona.

José Luis Buendía Sierra heads the Brussels office, focusing on EU and antitrust matters. Interviewees say he is "internationally seen as a top-notch EU and competition lawyer."

London-based Ignacio Corbera Dale receives praise for the "unbelievable level of service" he provides. He has been the resident partner in the London office since 2011, focusing on M&A, corporate and contract law.

Manuel Torres Salazar is the managing partner of the Shanghai office. His key expertise is in cross-border work, assisting foreign clients investing in China. 

Department head Alejandro Ortiz is regarded by the market as a skilled and experienced M&A lawyer. One source comments: "He's really good at putting the pieces together in very complex deals."

Sources praise Sebastián Albella for his tenacity in negotiations, saying "he really defends your corner. He's creative as well, which contributes to his success."

A recent addition to the team, Juan Barona is praised by sources for his skills in corporate transactions, and counts a number of major banks and private equity firms amongst his clients.

Alexander Kolb works on both public and private M&A transactions, as well as lending his German expertise to international clients. Sources say he "provides an impeccable service. He's thoughtful, rigorous, and really focused on getting things done well."

Jaime Zurita continues to command respect from the market for his vast experience in complex corporate matters.

Described as "one of the best M&A lawyers in Spain," Juan Miguel Goenechea continues to receive outstanding praise. A client remarks: "He invests his time, is willing to work hard, and brings a lot of creative ideas to the table."

Salvador Sánchez-Terán most recently acted on a major transaction on behalf of Criteria Caixacorp. "He's a market leader," comments one source.

Cándido Paz-Ares is highly regarded by market sources, particularly in corporate governance. One source described him as "a great lawyer with an excellent reputation. He has fantastic knowledge and intuition."

Managing partner and corporate head Rafael Sebastián is "a fantastic corporate lawyer" according to sources.

Juan Francisco Falcón has been visible acting for CCMP on its investment in new airline Volotea.

Jaime Pereda continues to have a strong presence in corporate work, acting for both domestic and international companies.

Barcelona-based Eduardo Geli has experience in various areas of corporate, M&A, and corporate governance, in addition to prime knowledge of the US market.

Former managing partner of the Peruvian office Carlos Paredes impresses with his knowledge of both Spanish and Latin American legal matters.

German expert Christian Hoedl is highly regarded for his work with private equity clients. He heads the firm's German desk, which advises Spanish clients on their investments in Austria, Germany and Switzerland. The team also assists clients from these countries doing business in Spain.

Formerly of the firm's Mexican office, Francisco Martinez Boluda continues to advise a range of clients from the region on all corporate, M&A and banking matters.

Eduardo Rodríguez-Rovira is well regarded for his expertise in private equity and M&A, as well as for his excellent knowledge of the Argentine market. He manages the Latin America desk and previously worked in the firm's Buenos Aires office advising Spanish clients on their investments in Latin America. Juan Carlos Machuca heads Uría's London practice. His work encompasses corporate, finance and securitisation work.

Brussels-based Edurne Navarro Varona advises on a range of corporate, competition and state aid matters. She is a prime choice for international clients, thanks to her fluency in Spanish, English, French, Italian, German and Dutch.

Pedro Pérez-Llorca combines a busy M&A practice with his role as managing partner, advising on several of the firm's key recent transactions.

Vicente Conde brings his extensive expertise of financial markets to corporate transactions. His work covers takeovers, IPOs, public share offerings, and corporate restructurings.

Clients appreciate Iván Delgado for being "quick to respond" and giving "excellent advice from both a legal and commercial perspective."

Up-and-comer Fernando Quicios is singled out by sources for his top-notch client service, with sources commenting that "it's a pleasure to work with him because he makes it very easy to close a deal." He also receives praise for his technical ability.

Specialising in securities and corporate finance, Iñigo Gómez-Jordana combines his role as managing partner with co-heading the corporate practice.

Juan Barona is praised by sources for his skills in corporate transactions, and counts a number of major banks and private equity firms amongst his client base.

Corporate expert Pierre-Olivier Mahieu heads the office in Belgium, where he handles corporate governance and M&A work. He has impressive knowledge of the Spanish market, having been based in Spain for several years.

Alejandro Fernández de Araoz is viewed as an excellent practitioner in all areas of corporate work, with sources saying he "does a stellar job."

Francisco Solchaga López de Silanes specialises in energy transactions, with clients including energy group OPDE.

María José Menéndez boasts particular expertise in the financial and insurance sectors, in addition to being a skilled litigator. One client describes her as "extremely intelligent, with great technical expertise and top market knowledge."

Senior associate Pedro Ester continues to build his presence in corporate and commercial work, assisting with some of the team's key deals.

Jorge Adell is a noted corporate specialist working in the Barcelona office. Clients describe him as "quick, clear, responsive, and approachable."

Clients highlight Fernando de las Cuevas for his commendable financial knowledge. One source comments: "I've had a very good experience working with him: he has a wide knowledge of the law and looks for win-win solutions."  

With a background in banking and finance, Fernando Igartua continues to be active in corporate matters. 

Banking and capital markets specialist Ángel Varela Varas is recognised as an able practitioner. He has experience in project finance, asset financing, takeovers, and public offers.

Mónica Weimann Gómez works with German clients on a range of corporate matters, particularly M&A. She also has expertise in competition and food law, and is the vice-president of the board of the Spanish-German Association of Lawyers, AHAJ. As head of the German desk, she assists German clients such as major banks and the Spanish subsidiaries of German companies active in Spain.

London-based Miguel Lamo de Espinosa Abarca is highly regarded for his work in corporate, restructuring and finance matters. He gains all-round praise from sources, who say that he will go far. One interviewee says of him: "He gives incredibly commercial advice, and he's pro-active and pragmatic. He's able to think outside of the box, and always goes one step further for a client."

Miguel Troncoso Ferrer is based in Brussels. He is well respected for his work in competition and EU law, covering restrictive practices, cartel proceedings, and representing companies and institutions before the courts.  

Alex Dolmans specialises in private M&A, with a clientele consisting of international companies involved in projects in Spain. He previously studied in Belgium and speaks English, French, Dutch and Spanish. He frequently advises the Belgian embassy in Spain regarding foreign trade matters.

Corporate head José María Balañá advises on a number of joint ventures and acquisitions.

Sources laud Graciela Llaneza's availability and responsiveness. She recently advised Qualitas Equity Partners on its EUR34 million sale of waste management firm Befesa Reciclaje de Residuos de Aluminio. 

Lucas Osorio has substantial experience in the infrastructure sector. He recently advised Spanish property firm Metrovacesa on its EUR5.2 billion refinancing.

José Luis Blanco specialises in M&A mandates in the energy sector, and also works on private equity-backed transactions. Clients rate him because "he tries to reach a consensus and provides first-rate solutions."

Ignacio Pallarés recently advised Ventizz Capital Partners on its investment into solar reflector producer Rioglass Solar Holding.

Based in Brussels, Javier Ruiz Calzado advises on a range of EU and Spanish competition matters, particularly in the energy sector.

Co-head of the corporate practice Alberto Alonso Ureba has extensive experience advising on corporate governance, company law, and M&A. A client enthuses: "He's experienced, responsive, and is there for you 24 hours a day."

Diego Lozano receives glowing praise from market observers. One source remarks: "I value his experience, his capacity to see the whole picture, and his negotiation skills."

Splitting his time between São Paulo and Madrid, Luis Riesgo chairs Jones Day's Latin America practice and advises on a range of cross-border transactions.

Carlos Jiménez de Laiglesia heads the department and advises clients such as Ferrostaal and La Unión Resinera Española.

Based in Madrid, Marta Gil de Biedma is regarded as a safe pair of hands for all types of corporate and commercial work.

Valencia-based Juan Manuel Pérez is one of the firm's most noted figures, with a client base which includes German manufacturing group Thomas and the private equity arm of Spanish bank Ahorro Corporación.
