CORPORATE:
The corporate area has broad experience in complex transactions of an international nature and participates in some of the most important transactions in Spain. Experience includes advising clients in all fields of activity and at all stages of their corporate existence: from incorporation, financing and international expansion, to their eventual restructuring.This area has an experienced and sophisticated practice in M&A, private equity, capital markets, banking and finance, real estate and projects. The area offers full service legal advice on Spanish corporate law to public and private, and national and international corporations with a presence in every sector, such as: retail, family office, leisure and tourism, transport and logistics, energy, natural resources and infrastructures, banking, financial and insurance services, private equity, TMT, real estate, life sciences and the food industry.

LITIGATION, PUBLIC & REGULATORY:
The litigation, public and regulatory law area is formed by professionals from the litigation (including white-collar crime) and arbitration specialty as well as from the EU and competition, IP and commercial, and administrative and regulatory specialties. The partners in charge of this group are publicly recognised for their attention to clients and rapid understanding of business needs.

Litigation & Arbitration:
This team acts before all legal forums in Spain and abroad, focusing on both commercial litigation including white collar crime and international and domestic arbitration. Its members have broad experience in complex cases relating to energy, construction, engineering, banking, tort liability, corporate disputes, distribution and agency contracts. In addition, partners of the firm are regularly appointed as arbitrators in significant international and domestic arbitration proceedings. The White-Collar Crime Practice, working alongside this team, is also very active. Mixed teams comprised of lawyers from litigation, EU and competition, as well as IP and commercial law are regularly set up to deal with cases requiring specific skills and expertise.

EU & Competition:
This team is particularly active in advising both Spanish and international clients on domestic and EU merger control issues,where the firm has been involved in several major acquisitions, as well as in mergers and spin-offs. It also has wide experience in cartel cases and in abuse of dominance matters, where it has participated in some of the most recent leading cases. The group maintains regular contact with European and national competition authorities and, working closely with the Litigation and Arbitration Team, provides practical advice with regard to antitrust litigation, with a particular focus on damage claims arising out of antitrust infringements.

Intellectual Property & Commercial:
The team advises companies from all sectors on management and protection of industrial property portfolios and also has extensive experience in all aspects of copyright, including author’s rights and IT application software protection. The team specialises in unfair competition, patents and trademark disputes, as well as in drafting licensing agreements covering all aspects of trademark, patent, technology and know-how. Furthermore, the team is well-versed in product and services marketing as well as in consumer protection, including product safety, labelling, advertising and general contracting conditions and in distribution, agency and similar contracts.

Administrative, Regulatory & Land Planning:
The team provides advice on all areas of this law, advising public entities and private companies on their relations with public administrations. It has extensive experience in all areas of public and regulatory law, particularly in the energy sector, telecommunications, mining and the financial sector. The team’s profound legal knowledge and experience gained in public administrations allows the practice to offer clients high quality legal advice on public contracts and all forms of concessions. Working closely with the Litigation and Arbitration Team, this team represents the interests of clients in administrative and regulatory disputes before the courts. It has extensive experience representing clients before administrative courts and in public law arbitration proceedings in all areas of public law.

Land Planning:
This team’s activity focuses on offering advice on the various aspects of the initial stages, management and execution of land planning projects to some of the biggest national and international developers and owners of office buildings, residences, business parks, technology parks and shopping centres, as well as to the Public Administrations.

TAX & LABOUR:
This group advises on all tax and labour issues and in addition to their own cases, they are also a fundamental support in corporate and real estate operations, on which they work closely with the rest of the teams. Additionally, they have significant expertise in the implementation of remuneration systems for companies.Their advice is innovative and resolution-oriented, and it is based on detailed knowledge of the legislation as well as on considerable experience.

Tax:
The team provides tax advice to companies and their shareholders, resident and non-resident in Spain, in order to optimise tax benefits in national and cross-border deals. It works closely with the corporate area teams and it specialises in M&A, private equity, company and real estate taxation, both at a national and international level. Many of its clients are multinational companies, as well as significant players in the Spanish real estate market, for which the team designs and implements tax efficient strategies for their transactions.This team has substantially strengthened its capacities in the field of tax litigation over the past few years and expects significant growth in this field in the short-term.

Labour:
This team advises on negotiations with unions concerning corporate restructuring, labour adjustment procedures, collective conflicts, collective agreements, the transfer of employees, pension schemes for employees and health and safety at work. In contentious labour issues, the team represents its clients in areas such as breach of contracts, compensation matters, accidents at work and dismissal proceedings. It works closely with the Corporate and Financial Team providing full-service advice on the labour matters arising from M&A and due diligence procedures and labour audits.

International Work:
Fifty percent of the firm’s client base is international. The firm has continued longstanding experience in international real estate development and investment transactions, crossborder acquisitions, joint ventures, cross-border acquisition finance, liquidation of foreign investments, mergers, spin-offs, private equity, competition, litigation and international and domestic arbitration.
