Firm Overview:
Lambadarios Law Offices was founded in 1863 by Konstantinos E Lambadarios Sr in Athens and has been operating continuously since then with a well respected Greek and international clientele. The firm today numbers 20 lawyers and six partners, all located at its offices in the centre of Athens. Many of the firm’s partners and associates are well respected individuals in their fields of expertise both nationally and internationally. Specifically, two of the partners are alumni of Cleary, Gottlieb, Steen & Hamilton, giving the firm a unique advantage in working with international clients. Mr Constantinos Lambadarios Sr (1915-2002), after completing his studies at Harvard Law School, returned to Greece with unique expertise in foreign investments. Through his hard work and considerable experience the firm established itself as a leader in the field of foreign direct investments during the 1960s and 1970s. Since then, it continues to advise a number of international corporations that came to invest in Greece during that era. With a solid base of clients, the firm has grown under the leadership of Mr Epaminondas Lambadarios and Mr Dimitrios Lambadarios,who, after completing their studies at Harvard Law School and the University of London and joining the firm in 1970, have successfully and considerably diversified the categories of work that the firm offers to its clients. It is also worth noting that name Partner,Dimitri Lambadarios, was appointed in 2006 as the President of the Greek Tourism Organisation. It is the firm’s policy to strive to provide a high level of legal advice without disregarding personal contact with clients. Proof of this approach is that the firm has clients who have been with it for 30 years.
Main Areas of Practice:
The firm specialises in a wide variety of both domestic and international commercial work offering a high level of legal services to its clients worldwide to include: Corporate law and M&A, EU and competition, banking and finance, litigation, commercial arbitration and ADRIT, telecommunications and intellectual property, project finance, public works and procurement and securities law. The firm’s client base includes banks, financial institutions, insurance corporations, large industrial and commercial sector corporations and private individuals. Since the early 1960s, the firmhas advised foreign clients who wish to establish businesses in Greece. Moreover, the firm has represented foreign and domestic clients in numerous litigations and arbitrations in the ICC. The firm’s intellectual property expertise includes trademark, patent and copyright law. Recently the firm, recognising the impact of environmental legislation on the way business is conducted, decided to create an Environmental Law Department that advises clients on issues relating to their business.
Banking & Finance & Capital Markets:
The firm’s Banking and Finance Practice represents clients in all aspects of financing transactions. Transactions range from origination and negotiation to documentation and closing, and when necessary, to enforcement and reorganisation. The firm also advises clients on the issuance of Bond loans and IPOs. The firm recently advised a major international bank on dept capital and securitisation, A.I. Partners, a real estate investment fund regulated by the FSA on its prospectus and DB New York on a R90 million restructuring credit faculty. Also, the firm recently completed a $1.2 billion Global Credit Facility for a US multinational which involved a highly complex structure of collateral agreements including a series of pledges and a floating charge.
Project Finance & Public Procurement:
The firm advised the formation of a 50/50 joint venture between a leading Greek construction company and a major Italian energy company for the development of energy projects through project financing including EPC contracts, the firm has been retained by a leading US Corporation for advising the consortium bidding on the largest Greek PPP on Ports Security, advised on the DBF contract on the Lavrion Port and Bombardier Gmbh on government tenders. The firm has also advised in the past the Project Manager of ERGAOSE an entity mandated with completing all rail infrastructure projects in Greece. On public procurement the firm advises pharmaceutical, tire, heavy machinery and aircraft manufacturers on government tenders.
Competition:
The firm routinely advises both domestic and multinational clients on all aspects of competition law and especially on the formation of selective and exclusive distribution networks in Greece. Members of the Competition Law Team have recently handled a number of high profile cases, including dominance and price fixing allegations. Recently, the firm worked on two cases involving allegations of concerted practices, abuse of collective dominance and export bans in the book sector and is currently representing a leading beer producer on issues of abuse of dominance. The firm also advised on the filling to the HCC and the clearance of the recent acquisition by PP S.A. of Shell Hellas lubricants business.
Intellectual Property & Data Privacy:
The firm’s practice includes IP portfolio management and consulting as well as copyright, trademark and unfair competition litigation. The firm regularly advises its clients on their online practises as to copyrights, data processing, domain names and consumer protection. The firm also advises Sony Music on copyright issues relating to the production of music and artists’ rights as well as a US search engine on all IP and privacy matters.
Litigation & Arbitration:
The firm’s Litigation and Arbitration Practice is well established both in domestic litigation and international commercial arbitration. The Litigation–Arbitration Team represents clients in all types of proceedings, from applications for injunctions to complex, cross-border litigation as well as representation in the European Court of Justice. The firm has recently been involved in a number of high profile ICC arbitrations against the Greek state representing SAIC S.A. on a multimillion breach of contract claim. In the litigation front, the firm has recently represented Goodyear Tires and Athens Paper- Mill, in two precedent setting cases in the Athens Supreme Court and the European Court of Justice concerning disputes over collective redundancies with ex-employees resulting from the closing down of their factories in Greece.
Corporate & Mergers & Acquisitions:
The firm’s expertise includes due diligence reviews, initial public offerings, acquisitions as well as an active advisory role to a number of clients listed in the Athens Stock Exchange. The firm advises on all aspects of M&A transactions, fromthe structuring of the deal, its negotiation and documentation and, if required, filings to the HCC. The firm has worked on advising on the Greek part of the acquisition by Sony Music of the part held by Berterlsman for $1.2 billion. The firm completed the first ever cross-border merger in Greece for a Japanese electronics manufacturer, advised Diamond Resorts International in the acquisition of a company in Greece, advised on the merger of Towers Perrin and Watson Wyatt and recently completed a multi-million euro acquisition by PP S.A. of the lubricants business of Shell Hellas.
